1. Agreement and Eligibility
These Affiliate Program Terms (the "Affiliate Terms") are between Antevski ENK, Org. No. 934 334 507, Harry Fetts Vei 5B, 0667 Oslo, Norway, operating as CostLoop, and the person or organisation accepted into the CostLoop affiliate program ("Affiliate", "you", or "your"). By applying, accepting these Affiliate Terms, or participating in the program, you agree to them and to the CostLoop Terms of Service and Privacy Policy.
You must be at least 18, able to enter into a binding agreement, provide accurate application and payout information, and comply with laws that apply to your promotion and earnings. Applying does not guarantee acceptance. We may accept or reject an application at our discretion, subject to applicable law.
2. Referral Links and Attribution
CostLoop may provide a unique referral link or code. You must use it accurately and may not alter tracking in a misleading way. Attribution depends on CostLoop's records and the referral-tracking rules in effect when the customer signs up. Attribution may fail if a customer blocks or clears storage, uses another device, follows a later referral, or signs up without the referral code.
You may not use cookie stuffing, forced redirects, hidden frames, misleading links, automatic code injection, self-referrals, duplicate accounts, or other methods intended to manufacture or misattribute referrals. CostLoop may resolve competing-attribution questions using its reasonable assessment of available records.
3. Commission
Affiliates earn 20% of eligible net subscription revenue received from a customer who signs up through the Affiliate's unique referral link and is validly attributed to that Affiliate.
Eligible net subscription revenue means the subscription payment actually received by CostLoop, less applicable refunds, taxes, chargebacks, discounts, credits, and Stripe or other payment-processing fees.
Commission eligibility continues for as long as the referred customer remains on an eligible paid subscription. CostLoop does not set a fixed commission-duration or total earnings cap. No commission is earned on free plans, unpaid invoices, non-subscription charges, fraudulent or self-referred accounts, or amounts later refunded, disputed, reversed, or written off.
4. Hold Period and Availability
Each commission is held for 30 days after the associated customer payment. After that hold period, it becomes available only if the payment remains eligible and no refund, dispute, chargeback, fraud concern, or policy violation applies.
Commission figures displayed in a dashboard or message are estimates until marked available and paid. CostLoop may correct calculation or attribution errors.
5. Payouts and Stripe Connect
Payouts are processed monthly when the Affiliate has at least USD $50 in available commissions. Amounts below the threshold roll forward to a later payout cycle. Processing dates and bank arrival times may vary.
You must complete Stripe Connect onboarding and remain eligible to receive payouts. Stripe may require identity, tax, bank-account, sanctions, or other verification information under its own terms and legal obligations. CostLoop is not responsible for delays caused by incomplete onboarding, inaccurate information, banking networks, or Stripe review.
Unless required by law, CostLoop does not owe interest on held, delayed, or carried-forward commissions. If your currency or bank account differs from USD, Stripe or your financial institution may apply conversion rates or fees.
6. Holds, Reversals, and Refusals
CostLoop may hold, delay, reverse, suspend, offset, or refuse a commission or payout where reasonably related to a refund, payment dispute, chargeback, suspected fraud, manipulated attribution, self-referral, policy violation, inaccurate or incomplete information, sanctions or payment restrictions, tax requirements, legal requests, or an amount paid in error.
If a commission has already been paid and later becomes ineligible, CostLoop may deduct it from future commissions or request repayment where permitted by law. We may ask for information reasonably needed to investigate eligibility.
7. Promotion Rules
You must clearly disclose your affiliate relationship wherever required and ensure endorsements reflect your honest experience. You must not:
- Make false, misleading, unsubstantiated, or outdated claims about CostLoop, pricing, savings, privacy, security, or features.
- Send spam, use unlawful marketing lists, or violate email, advertising, consumer-protection, endorsement, or privacy laws.
- Bid on CostLoop trademarks, misspellings, or confusingly similar terms in paid search without written permission.
- Register domains, social accounts, or business names that impersonate CostLoop or imply that you are CostLoop.
- Offer unauthorised coupons, rebates, cash incentives, or representations that alter CostLoop's published terms.
- Promote CostLoop on unlawful, deceptive, infringing, hateful, or sexually explicit content.
8. Brand Licence
While you remain in good standing, CostLoop grants you a limited, revocable, non-exclusive, non-transferable licence to use approved CostLoop names and brand materials only to promote CostLoop under these Affiliate Terms. You may not alter brand assets, claim ownership, or create the impression of employment, endorsement, or agency beyond your disclosed affiliate relationship. The licence ends when participation ends.
9. Privacy and Confidentiality
You must handle personal data lawfully, provide required privacy and cookie notices, obtain any required consent, and use referral information only for permitted promotion and attribution. You may not collect or disclose a customer's sensitive information on CostLoop's behalf without written authorisation.
Non-public program information, commission data, security information, and communications identified as confidential must be protected and used only for participation in the program.
10. Taxes and Accurate Information
You are responsible for determining, reporting, and paying your own taxes, duties, social charges, and other obligations arising from commissions. You must provide accurate legal, tax, identity, and payout information and promptly update changes. CostLoop or Stripe may withhold amounts or request documentation where required by law.
11. Independent Relationship
You are an independent contractor and not an employee, agent, partner, franchisee, joint venturer, or legal representative of CostLoop. You have no authority to make commitments for CostLoop. You are responsible for your own expenses and methods of promotion.
12. Suspension and Termination
Either party may end participation at any time by notice. CostLoop may suspend or terminate participation immediately for suspected fraud, material breach, legal or security risk, inaccurate information, or conduct likely to harm customers or CostLoop.
On termination, you must stop using referral links and CostLoop brand materials. Valid available commissions accrued before termination remain payable subject to these Affiliate Terms, but commissions connected to fraud, manipulation, refunds, disputes, or violations may be withheld or reversed.
13. Program Changes
CostLoop may change or discontinue the affiliate program prospectively. We will give reasonable notice of material changes through email, the affiliate dashboard, or another appropriate channel. Unless required by law, changes will not retroactively reduce commissions already marked available.
14. Disclaimer and Limitation of Liability
The program is provided "as is" and "as available". CostLoop does not guarantee referral volume, commission income, uninterrupted tracking, or continued availability of the program.
To the maximum extent permitted by law, Antevski ENK's total liability arising from the affiliate program will not exceed the commissions paid or payable to you during the 12 months before the event giving rise to the claim. Neither party will be liable for indirect, incidental, special, or consequential loss, including lost profits or business opportunities. Nothing excludes liability that cannot legally be excluded.
15. Indemnity
You will indemnify Antevski ENK against third-party claims and reasonable costs arising from your unlawful or misleading promotion, infringement of third-party rights, privacy or marketing violations, or material breach of these Affiliate Terms, except to the extent caused by CostLoop's breach, negligence, or wilful misconduct.
16. Governing Law and Disputes
These Affiliate Terms are governed by Norwegian law. Before formal proceedings, each party will give written notice and allow 30 days to seek an informal resolution. Unresolved disputes are subject to the courts of Oslo, Norway, except where mandatory law requires another venue.
